The contractual framework for all business-to-business orders

These General Terms and Conditions of Sale ("GTC") govern all sales of computer hardware, peripheral equipment and software by Nikita Makasovs ("the Seller") to professional buyers ("the Buyer") acting in the course of their business.
Under Article L441-1 of the French Commercial Code, these GTC form the sole basis of the commercial negotiation. They prevail over any general conditions of purchase of the Buyer, save express prior written agreement.
Placing an order implies unreserved acceptance of these GTC.
This website is intended exclusively for professionals. The Buyer confirms having the legal capacity to contract on behalf of their business and provides, on opening an account, their company name, SIRET number and, where applicable, their intra-community VAT number.
Exception (Article L221-3 of the French Consumer Code). A professional Buyer employing five people or fewer and ordering goods outside their main field of activity benefits from the protective provisions of consumer law applicable to distance contracts, including the 14-day right of withdrawal. A Buyer in that position is invited to say so when ordering so that this regime is applied.
The essential characteristics of the products (manufacturer reference, specifications, EAN where applicable) appear on the product pages. Photographs are illustrative and have no contractual value.
Offers are valid while stocks last. As the Seller carries on a distribution activity, availability depends on its suppliers and on the manufacturers; the lead time shown is an estimate.
The sale is formed on the order confirmation sent by the Seller after payment has cleared or the agreed payment terms have been accepted. The Seller may refuse or limit any abnormal order, in particular where there is a prior payment dispute or a suspicion of fraud.
Requests for significant volumes may be the subject of a specific quotation, whose particular conditions prevail over these GTC for the order concerned.
Prices are expressed in euros excluding tax (HT), ex-warehouse, excluding carriage and excluding eco-contribution. The tax-inclusive amount (TTC) is shown at basket stage and on the invoice.
The Seller applies the tariff in force on the day the order is recorded. Quantity discounts, where offered, are shown on the product page.
Intra-community supplies. For a taxable Buyer established in another EU Member State holding a valid intra-community VAT number (verified through VIES), the supply is invoiced excluding VAT under the reverse charge (Article 138 of Directive 2006/112/EC). Absent a valid number, French VAT applies.
Electrical and electronic equipment sold falls within the WEEE scheme (Articles L541-10-8 et seq. of the French Environment Code). The eco-contribution is shown separately where it applies.

Storage media (hard drives, SSDs, USB keys, memory cards) additionally bear the private copying levy under Article L311-1 of the French Intellectual Property Code, included in the price shown.
Accepted payment methods are set out on the Payment Methods page. Unless payment terms have been agreed in writing, orders are payable on ordering.
Where a payment period is granted, it may not exceed the caps in Article L441-10 of the Commercial Code: 60 days from the invoice date, or 45 days end of month where expressly stipulated.
Late payment. Any sum unpaid at maturity automatically gives rise, without prior formal notice, to:
Terms, zones and lead times are set out on the Delivery page. Lead times are indicative. A delay does not give rise to cancellation, refusal of the goods or compensation, save written agreement to the contrary.
Risk transfers when the goods are handed to the carrier. Transfer of title is governed by clause 9 below.
Mandatory reservations. The Buyer must check the condition and conformity of the parcels on delivery. In case of damage or shortage, the Buyer must record precise and detailed reservations on the delivery note and confirm them to the carrier by registered letter within three (3) days of receipt, under Article L133-3 of the Commercial Code, and inform the Seller within the same period. Failing this, no claim for transport damage can be accepted.
The Seller retains title to the goods delivered until full payment of the price, principal, interest and incidentals (Article L624-16 of the Commercial Code).
As risk transfers on handover to the carrier, the Buyer bears from that moment and until full payment the risk of loss, theft or damage, and undertakes to insure the goods accordingly. The Buyer may not pledge them or transfer them by way of security while unpaid.
Manufacturer's warranty. Products carry the commercial warranty of the manufacturer or publisher, on its own terms, durations and scope. The Seller passes this warranty on without extending it.
Statutory warranty against hidden defects. The warranty under Articles 1641 et seq. of the French Civil Code applies to sales between professionals on the conditions provided by law.
Statutory warranty of conformity. Articles L217-3 et seq. of the Consumer Code do not apply to sales between professionals, save where the exception in clause 2 above applies.

Exclusions. Excluded from any warranty: damage resulting from use not in accordance with the manufacturer's specifications, faulty installation or maintenance, unauthorised modification, power surge or environmental incident, as well as normal wear and consumables.
Software is licensed, not sold. The Buyer is solely responsible for complying with the publisher's licence terms, which prevail over these GTC as regards use of the software.
A digital licence whose key has been communicated or activated is definitively acquired and cannot be returned or refunded, save for a defect attributable to the Seller or an activation refusal attributable to the publisher.
The Seller's liability is limited to direct and foreseeable loss suffered by the Buyer and may not exceed the tax-exclusive amount of the order concerned.
Indirect loss is excluded, in particular loss of business, loss of data, loss of turnover, loss of customers or damage to reputation. It is for the Buyer to implement an appropriate backup policy before any intervention on its equipment.
These limitations do not apply in the event of wilful misconduct, gross negligence or personal injury.
The Seller is not liable for failure to perform in the event of force majeure within the meaning of Article 1218 of the Civil Code, including: interruption of manufacturer supply, global component shortage, logistics incident, cyberattack, or a decision of a public authority.
Processing of personal data is described in our Privacy Policy, which complies with Regulation (EU) 2016/679 (GDPR) and the French Data Protection Act.
These GTC are governed by French law, to the exclusion of the Vienna Convention on the International Sale of Goods.
In the event of a dispute, and failing amicable resolution, exclusive jurisdiction is conferred on the Commercial Court of Nancy, including where there are several defendants, third-party proceedings or urgent proceedings.
The Seller may amend these GTC at any time. The applicable GTC are those in force on the date the order is recorded.
